Important: If you do not agree to these terms, you must immediately discontinue use of our services and contact us to terminate your account.

"Client" or "You"

The individual or organization that subscribes to or uses our services.

"Data"

Any information, files, logs, or content processed through our security services.

"Platform"

Our web-based security management and monitoring systems.

Service Description

Open Pulse Security provides comprehensive cybersecurity services designed to protect your business from digital threats.

Security Monitoring

  • 24/7 threat detection and monitoring

Security Assessments

  • Vulnerability assessments and penetration testing
  • Security audits and compliance reviews
  • Risk analysis and mitigation recommendations

Managed Services

  • Security tool configuration and management
  • Policy development and implementation
  • Staff training and security awareness programs

Service Availability

We strive to maintain 99.9% uptime for our monitoring services. Scheduled maintenance will be communicated in advance when possible.

Acceptable Use Policy

Our services are designed for legitimate business security purposes. You agree to use them responsibly and in compliance with all applicable laws.

Permitted Uses

  • Protecting your organization's digital assets
  • Monitoring your own networks and systems
  • Conducting authorized security assessments
  • Compliance with industry security standards
  • Training and educational purposes within your organization

Prohibited Uses

  • Unauthorized access to third-party systems
  • Malicious hacking or cyber attacks
  • Violation of privacy laws or regulations
  • Reselling or redistributing our services without permission
  • Reverse engineering our proprietary tools
  • Using services to harm, harass, or threaten others

Violation Consequences

Violation of this policy may result in immediate service suspension, account termination, and potential legal action.

User Accounts & Responsibilities

You are responsible for maintaining the security and proper use of your account credentials.

Payment Terms

Clear payment terms ensure uninterrupted service delivery and mutual understanding of financial obligations.

Billing & Payment

  • Services are billed monthly or annually as specified in your service agreement
  • Payment is due within 30 days of invoice date
  • Late payments may incur a 1.5% monthly service charge
  • All fees are non-refundable unless otherwise specified

Service Suspension

  • Services may be suspended for accounts 60+ days overdue
  • We will provide 15 days written notice before suspension
  • Suspended services can be restored upon payment of all outstanding amounts
  • Data retention during suspension is limited to 90 days

Price Changes

We reserve the right to modify pricing with 60 days written notice. Existing contracts will honor original pricing through their term.

Intellectual Property Rights

Respect for intellectual property rights is fundamental to our business relationship and the cybersecurity industry.

Our Intellectual Property

All proprietary tools, methodologies, reports, and documentation remain the exclusive property of Open Pulse Security. This includes:

  • Security monitoring and analysis tools
  • Threat intelligence databases and algorithms
  • Assessment methodologies and frameworks
  • Custom reports and security recommendations

Your Data & Content

You retain ownership of all data and content you provide. We only use your data to deliver services and will not:

  • Share your data with competitors or third parties
  • Use your data for our own commercial purposes
  • Retain your data longer than necessary for service delivery

Confidentiality & Data Protection

Protecting your confidential information is paramount to our cybersecurity mission and business integrity.

We implement industry-standard security measures to protect your confidential information from unauthorized access, disclosure, or misuse.

Non-Disclosure

Limitation of Liability

While we strive to provide excellent cybersecurity services, certain limitations on liability are necessary for business operations.

Liability Limitations

Open Pulse Security's total liability for any claims arising from our services shall not exceed the total amount paid by you for services in the 12 months preceding the claim.

Excluded Damages

We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to:

  • Loss of profits or business opportunities
  • Data loss or corruption (beyond our direct control)
  • Business interruption or downtime
  • Third-party claims or damages

Service Limitations

Our services are provided "as is" and we make no warranties regarding:

  • Complete prevention of all security threats
  • 100% detection of all vulnerabilities
  • Uninterrupted service availability
  • Compatibility with all systems and software

Mutual Responsibility

Effective cybersecurity requires collaboration. You are responsible for implementing our recommendations, maintaining system updates, and following security best practices.

Termination

Either party may terminate the service relationship under specific conditions and procedures.

Termination by Client

  • 30 days written notice required for monthly services
  • Annual contracts may be terminated at renewal with 60 days notice
  • No refunds for prepaid services unless specified in contract

Termination by Open Pulse Security

  • Immediate termination for material breach of terms
  • 30 days notice for non-payment after grace period
  • Reasonable notice for business reasons or service discontinuation

Post-Termination

Upon termination, we will:

  • Cease providing services immediately or as specified
  • Provide final reports and documentation
  • Securely delete or return your data as requested
  • Honor confidentiality obligations indefinitely

Governing Law & Dispute Resolution

These terms are governed by applicable laws and provide clear procedures for resolving any disputes.

Changes to Terms

We may update these terms periodically to reflect changes in our services, legal requirements, or business practices.
